1. Parties and acceptance

This agreement is between [owner name to be confirmed], trading as Obiitronics and EazyThreads, at [address to be confirmed], KVK [kvk to be confirmed], and the seller identified in the onboarding record. The seller record must contain the seller's legal name, address, contact details, trader status, VAT status and approved payment-provider reference. The accepted document version and date form part of that record.

You contract with the buyer for each garment sold under your seller identity. Obiitronics contracts with you to provide the platform, production and fulfilment services described here. You do not become an employee, partner or representative authorised to bind Obiitronics. Statutory rights arising from the actual relationship are unaffected by these descriptions.

2. Approval and information

Selling is available only after we and the appointed payment provider approve the required information. You must be 18 or older, have authority to contract and satisfy the territorial rules displayed during onboarding. A personal account is not automatically a non-business seller account.

Keep your legal identity, address, tax status and payment details accurate. Notify us before changing ownership, country, business form or VAT status. We may pause new orders while a material inconsistency is resolved. The payment provider performs its required identity and bank verification. Do not send identity documents or bank passwords through ordinary platform messages.

You remain responsible for your income tax and applicable VAT or business-registration duties. We supply transaction statements and information required by law. We do not promise that selling is tax-free, and provider verification is not a tax ruling.

3. Listings and customer relationship

You choose what to publish and the selling price within the disclosed production and pricing constraints. Listings must accurately state the product, materials, options, seller identity and status. You must not infringe rights, create fake reviews or misrepresent availability, origin, environmental performance or safety.

You appoint Obiitronics to transmit orders, communicate order acceptance within your published offer, arrange production and dispatch, and provide first-line customer service as your disclosed service provider. This appointment is limited to the functions described here and does not itself authorise Obiitronics to provide regulated payment services.

You authorise Obiitronics to apply the agreed returns and defect policy on your behalf, including instructing the appointed payment provider to refund an eligible customer. We provide a reason and an itemised adjustment. Mandatory buyer rights are not conditional on you approving each complaint.

4. Artwork licence and production

You grant a non-exclusive licence to reproduce, print, resize for the approved placement, display and deliver your artwork only as needed to provide the service and fulfil authorised orders. You retain the rights you hold. Public product images may be displayed in marketplace discovery and agreed promotions. Separate permission is needed for unrelated advertising use of a private design or personal endorsement.

You confirm that you hold the rights needed for the supplied artwork and any identifiable person's likeness. AI assistance does not remove this responsibility. We may request evidence or decline a design presenting a credible infringement or safety concern.

The production specification includes the approved garment SKU and quality, colour, size, print side, placement and production-ready artwork. We may not silently substitute the garment or materially change the design. Where supply fails, obtain customer agreement to a change or cancel and refund. Obiitronics is responsible for production errors attributable to its work. The production schedule in the launch pack provides the operational detail.

5. Charges and taxes

Every listing quote and confirmed order must disclose the applicable production charge, platform commission, VAT on those supplies, shipping allocation and any seller-paid payment or payout fee. The fee schedule accepted during onboarding forms part of this agreement. Draft planning rates are not operative charges.

The proposed commission basis is the product selling price after removing any VAT actually due on the seller's sale, excluding delivery. It is not a promise that the seller receives 80% of the customer payment: production and applicable service VAT are separate deductions. A seller who cannot recover input VAT bears VAT charged on our services as a cost.

Obiitronics issues an invoice for its supplies to you. A payout statement is not automatically a VAT invoice, and settling a balance does not transfer your tax liability to Obiitronics. If invoice generation is delegated to the platform, authority, numbering and tax treatment must be agreed separately. No tax withholding is made unless required by law and explained in the statement.

6. Payment provider and proceeds

Customer money and seller payouts are handled under the appointed licensed provider's approved marketplace arrangement. The provider and its terms must be identified before onboarding is completed. EazyThreads does not offer a bank account, transferable wallet or deposit product.

You authorise the provider to allocate the agreed production, delivery and platform charges and settle the remaining sales proceeds to your verified payout account. Processing, verification, settlement and bank-transfer timing depend on that provider. We must show the difference between pending proceeds, a refund or dispute hold, eligible proceeds and money actually paid out.

The proposed release rule is a weekly payout of eligible orders after confirmed delivery plus 14 days, subject to the provider's permitted holding period and a documented open dispute. This is a planning rule pending approval, not an active payout promise. A specific hold must have a stated reason, amount, review date and route to challenge it. We may not retain unrelated earnings indefinitely or use seller funds to finance production.

Bank-account changes require re-verification. We never accept a bank-account replacement solely through an email or chat request. Payment failure does not erase the amount due; the ledger must retain it until resolution.

7. Refunds disputes and promotions

Refunds and reversals are itemised against the relevant order. If Obiitronics caused a production or fulfilment fault, it bears the reasonable correction costs attributable to that fault. Seller-supplied infringing artwork or inaccurate content may create seller responsibility. Buyer remorse on a standard item is allocated under the accepted return and production schedules. No deduction may exceed the documented obligation, and disputes can be reviewed.

A platform-funded membership discount does not silently reduce your agreed proceeds. A seller-funded promotion requires your prior choice and a fresh earnings quote. Taxes and discount funding must be reconciled in the order records.

Do not buy your own products or arrange sham transactions to obtain promotions, manipulate rankings or withdraw trial credit. Credits for AI generation cannot be withdrawn as seller proceeds.

8. Ranking data and equal treatment

The Discovery and promotions policy explains the principal ranking factors and paid-placement influence. Buying a boost is optional. Organic listings remain eligible for discovery. We do not promise a particular number of impressions, customers or orders unless an offer expressly provides a measurable service and remedy.

You can access your own listings and the transaction information needed to fulfil obligations, reconcile payments and handle disputes. Buyer details may only be used for those purposes, not added to marketing lists without a valid legal basis. Other sellers do not receive your private financial data.

If Obiitronics sells its own garments, that seller identity must be clear. Any preferential access, ranking or data treatment must be disclosed before it is used. The initial proposal is no undisclosed ranking preference for Obiitronics listings.

9. Changes suspension and termination

For business users within the Platform-to-Business Regulation, changes to these terms are notified on a durable medium at least 15 days in advance, or longer where reasonable adaptation requires it, subject to lawful exceptions. Existing accepted orders keep their agreed commercial terms. You may end the relationship in accordance with the notice and applicable law.

We explain restrictions or suspension with the relevant facts and contractual basis, unless a lawful exception prevents disclosure. Where the P2B rules apply, termination of the whole service normally receives at least 30 days' notice and reasons, subject to the regulation's exceptions. Urgent action may be required for illegality, fraud or serious safety risks.

You may stop offering new products and request closure. Accepted orders, valid refunds, outstanding invoices and lawfully retained records survive closure. We provide a reasonable export of your own data and settle remaining eligible proceeds under the provider rules. Closure does not forfeit legitimate earnings.

10. Complaints and governing law

Send a seller complaint to [support email to be confirmed] with the decision or order reference. We review it fairly, explain the outcome and correct errors. Court remedies and any applicable statutory complaint or mediation rights remain available. Any additional P2B mediation arrangements must be named before launch if required; we do not claim an exemption without checking the business's size and circumstances.

Neither party excludes liability that cannot lawfully be excluded. Responsibility for a claim should follow the party's actual breach or fault. Any negotiated business liability cap must be separately reviewed and cannot remove mandatory consumer protection where the seller qualifies as a consumer for a service purchase. Dutch law governs subject to mandatory applicable law.
